This Terms of Use Agreement (“Agreement”) is a legally enforceable contract between Simor Ltd., a limited liability company established under UK law (Trading as “Simor Consulting”) and the client, either in personal capacity or on behalf of an entity (“Client”). It governs the use of Simor Consulting's website (https://www.simorconsulting.com) (“Website”) and any related services, platforms, or applications. Non-compliance with these terms results in the immediate prohibition of the Website's use, termination of the relationship with Simor Consulting, except for the Client's ongoing obligation to pay for services already rendered.
1. Intellectual Property Rights
The Website and all its components, including code, databases, functionality, designs, audio, video, text, images, and graphics (collectively “Content”), plus trademarks, service marks, and logos (“Marks”) are owned by Simor Consulting. They are protected by copyright, trademark, and other intellectual property laws. The Content and Marks are for personal, non-commercial use only. Any unauthorized use, reproduction, or commercial exploitation without prior written consent from Simor Consulting is prohibited. All rights in the Website, Content, and Marks are reserved.
2. Ownership of Materials
Materials created for the Client by Simor Consulting during a project (“Projects”) are the Client's property. If law dictates otherwise, Simor Consulting assigns all interests in such Projects to the Client. The Client assures that all materials provided for incorporation into a project are rightfully owned and do not infringe any third-party rights. Simor Consulting retains the right to display the Client's project work publicly unless otherwise specified in section 18.
3. Third-Party Software
If a Project includes third-party software requiring a license for legal use (e.g., databases, analytics tools), Simor Consulting will inform the Client. The Client is responsible for acquiring necessary licenses and bears all consequences of non-compliance.
4. User Representations
By accessing the Website, the Client confirms legal capacity to agree to these Terms, compliance with all terms, non-usage of automated methods for access, and adherence to all applicable laws and regulations.
5. Prohibited Activities
The Client agrees to use the Website only as intended. Prohibited activities include unauthorized access, data retrieval for database creation, security feature interference, unauthorized Website framing or linking, fraudulent activities, competition with Simor Consulting, reverse engineering of the Website software, and any actions that harm Simor Consulting or violate any laws.
6. Client Feedback
Client suggestions or feedback (“Submissions”) become the property of Simor Consulting. The Client agrees to Simor Consulting's unrestricted use of Submissions without obligation for confidentiality, acknowledgment, or compensation, except as it pertains to Project ownership (Paragraph 2).
7. Management and Oversight
Simor Consulting can monitor the Website for Terms violations and take legal action or restrict access at its discretion without notice or liability.
8. Privacy Policy
Use of the Website signifies agreement with the Privacy Policy, which includes data transfer and processing in the UK. Simor Consulting does not knowingly collect data from individuals under 18 and will delete such data if discovered.
9. Returns and Refunds
Refund eligibility is at Simor Consulting's discretion. Early termination may result in retention of materials by Simor Consulting and a 25% fee on remaining billable periods.
10. Modification
Simor Consulting may modify the Website or these Terms at any time without notice.
11. Connection Interruptions
Simor Consulting is not liable for Website availability or data loss/corruption.
12. Governing Law
These Terms are governed by UK law, excluding conflict of laws principles.
13. Litigation
Legal disputes will be resolved in UK courts, and the parties consent to this jurisdiction.
14. Disclaimer
The Website is provided "as is". Simor Consulting disclaims all warranties and is not liable for Website content accuracy, damages from Website use, or third-party products or services.
15. Limitations of Liability and Indemnification
The Client indemnifies Simor Consulting against all claims arising from Website use, including legal fees.
16. User Data
The Client is responsible for all data transmitted via the Website. Simor Consulting is not liable for data loss or corruption.
17. Electronic Communications
The Client consents to electronic communications and transactions and agrees to electronic records and signatures.
18. Referrals
Referral tracking is managed through Rewardful.com.
19. Miscellaneous
These Terms represent the entire agreement between the Client and Simor Consulting. The severability of terms is acknowledged.
